Welcome to SEMsights (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your purchase and use of the SEMsights Looker Studio dashboard and related services (collectively, the “Service”). By subscribing, you agree to these Terms. If you do not agree, you must not subscribe to or use the Service.

1. Description of Service

SEMsights provides access to a custom Looker Studio dashboard connected to your Google Ads account via the SEMsights Connector. This dashboard is shared with you under a monthly subscription license for your personal or business use.

• Access is view-only and is intended for analysis of your own campaigns.
• We do not store or retain your Google Ads credentials or campaign data.

2. Subscription & Payment

• Payment is due in advance of each subscription period.
• Subscriptions automatically renew each month unless cancelled before the renewal date.
• All subscription fees are non-refundable, except where required by applicable law.

3. Cancellation & Termination

• You may cancel your subscription at any time by contacting us or using the available cancellation option in your account settings.
• Upon cancellation, access to the dashboard will remain active until the end of your paid billing cycle.
• We may suspend or terminate your access immediately if payment is not received or if you breach these Terms.

4. Access & License

• The dashboard and SEMsights Connector remain the exclusive property of SEMsights.
• You are granted a limited, non-exclusive, non-transferable license to use the dashboard during your active subscription.
• You may not copy, reproduce, redistribute, resell, or claim ownership of the dashboard or the SEMsights Connector.
• Access is for you (and authorized team members, if applicable) only and must not be shared with unauthorized third parties.

5. Account Requirements

• You must have a valid Google account with access to your Google Ads data.
• Administrator-level access to the connected Google Ads account may be required for certain features.
• You are solely responsible for maintaining your Google account access and ensuring it remains active.

6. Data Access & Privacy

• We do not store, download, or retain your campaign data or Google account credentials.

7. Service Availability

• While we strive to ensure consistent availability, we do not guarantee uninterrupted service.
• Access may be temporarily unavailable due to maintenance, updates, or outages from third-party platforms (including Google services).

8. Intellectual Property

• All intellectual property rights in the dashboard, SEMsights Connector, branding, and related materials remain with SEMsights or its licensors.
• You may not reverse-engineer, modify, or create derivative works from the Service.

9. Disclaimer & Limitation of Liability

• Service is provided “as is” and “as available” without warranties of any kind, either express or implied.
• We make no guarantees regarding specific results or performance improvements from using the Service.
• To the fullest extent permitted by law, SEMsights shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.

10. Changes to the Service or Terms

• We may update or modify these Terms at any time by posting the updated version on our website.
• Continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
